1. Introduction
DMNTR Software (“we,” “our,” “us”) is a sole trader entity operating in the United Kingdom, providing software development and API services. By accessing or using our services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use our services.
2. Software Development Services
2.1. Our software development timelines are estimates and may be subject to delays. We do not offer discounts or refunds due to delays in project completion.
2.2. We offer unlimited revisions as part of our service agreement.
2.3. Collaboration with clients is conducted through Google Drive (“Gdrive”) and Trello. It is the responsibility of the client to ensure they have access to these platforms.
3. API Service Availability
3.1. We advertise our API services as being available 24/7/365; however, availability may be impacted due to maintenance, technical issues, or disruptions from third-party hosting providers.
3.2. We are not liable for any losses or damages resulting from API downtime.
4. Payments, Refunds, and Maintenance Package
4.1. All payments must be made in full before project commencement unless otherwise agreed.
4.2. We do not offer refunds unless explicitly stated in writing.
4.3. Clients who purchase our maintenance package are entitled to a £5,000 deduction on future updates or revisions. Future updates and revisions start from £5,000 unless otherwise agreed.
5. Limitation of Liability
5.1. To the fullest extent permitted by law, DMNTR Software, including its owner, affiliates, employees, and contractors, shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of our services.
5.2. By using our services, you agree to indemnify and hold DMNTR Software harmless from any claims, losses, or damages incurred as a result of your use of our products or services.
5.3. We provide our services “as is” without any warranties, express or implied.
6. Governing Law
6.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
7. Amendments
7.1. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services constitutes acceptance of the revised Terms.
